1. Subject of the Offer

1.1. IE Baltabaev Zhamin (the "Service Provider"), a sole proprietor registered under the laws of the Kyrgyz Republic, hereby offers any natural person (the "Customer") to enter into a paid service agreement under the following terms.

1.2. This document constitutes a public offer pursuant to Article 396 of the Civil Code of the Kyrgyz Republic.

1.3. The Service Provider renders the following services through the AlgaBall platform (algaball.com):

• Information and intermediary services for finding and organizing participation in amateur football games;
• Football venue booking services;
• Participant skill and manner rating management services.

2. Acceptance of the Offer

2.1. Acceptance (unconditional agreement) of this offer is achieved by the Customer performing all of the following actions:

1. Registering an account on the Platform;
2. Confirming acknowledgment of the Terms of Service and Privacy Policy;
3. Confirming they are at least 16 years of age and consenting to personal data processing.

2.2. Acceptance constitutes full and unconditional agreement with all terms of this offer, equivalent to executing a written contract (Paragraph 3, Article 398, Civil Code of the Kyrgyz Republic).

2.3. The agreement is deemed concluded upon acceptance and remains in effect indefinitely until terminated by either party.

3. Pricing and Payment

3.1. Service fees are determined individually for each Game or Booking and displayed on the relevant Platform page.

3.2. All transactions are in Kyrgyz Som (KGS).

3.3. Payments are processed through the Finik payment system (QuickPay System LLC). The Customer is redirected to the payment system's page to complete payment.

3.4. Payment is considered made upon confirmation from Finik. A Game slot or Venue Booking is not reserved until payment is confirmed.

3.5. The Platform charges a commission included in the participation fee, as set by the Service Provider.

4. Service Delivery

4.1. Game participation:

1. The Customer selects an available Game on the Platform;
2. The Customer makes payment through the payment system;
3. Upon payment confirmation, the Customer is added to the Game roster;
4. The Customer attends the Game at the designated time and place;
5. After the Game, the Manager confirms participation and assigns a skill rating.

4.2. Venue booking:

1. The Customer selects a Venue, date, time, and duration;
2. The Customer makes payment;
3. Upon confirmation, the booking is finalized;
4. The Customer uses the Venue at the booked time.

4.3. The service is deemed properly delivered: for Games, from the moment the Game begins (provided the Customer is present); for Bookings, from the start of the booked period.

5. Refunds

5.1. Refunds are governed by the Refund Policy.

5.2. Summary: refunds are available more than 2 hours before start (minus 2% fee); no refund within 2 hours; automatic refund if cancelled by Administration.

6. Warranties and Limitations

6.1. The Service Provider guarantees: good-faith provision of intermediary services; protection of personal data under KR law; Platform operability within reasonable technical capabilities.

6.2. The Service Provider does not guarantee: that every Game will take place; the quality or safety of venues; the behavior of other participants; uninterrupted Platform operation.

6.3. The Customer independently assesses their health and fitness for physical activity. Participation in Games is at the Customer's own risk.

7. Liability

7.1. The Service Provider's aggregate liability to the Customer is limited to the amount actually paid by the Customer in the preceding 3 (three) months.

7.2. The Service Provider is not liable for losses arising from force majeure events.

8. Termination

8.1. The Customer may terminate the agreement at any time by deleting their account. Previously paid services are not refundable except as provided in the Refund Policy.

8.2. The Service Provider may terminate unilaterally in case of material breach of this offer or the Terms of Service.

9. Governing Law

9.1. This offer is governed by the laws of the Kyrgyz Republic.

9.2. All disputes: mandatory pre-trial complaint period (15 business days), then court proceedings in Bishkek, Kyrgyz Republic.
